Terms of Service
Effective date: March 24, 2026
1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Typenode, Inc., a Delaware C Corporation (“Typenode,” “we,” “us,” or “our”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
We operate two web properties:
- typenode.ai — our marketing website (“Website”)
- app.typenode.ai — our application platform (“Platform”)
Together, the Website and Platform are referred to as the “Services.”
You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case “you” and “your” refer to that entity.
Our Privacy Policy explains how we collect, use, and protect your personal information and is incorporated into these Terms by reference.
2. Definitions
In these Terms, the following terms have the meanings set forth below:
- “Account” means the user account you create to access the Platform.
- “AI Features” means the artificial intelligence-powered capabilities of the Platform, including AI-assisted workflow generation, conversation-based interaction, and any other functionality powered by third-party large language model providers.
- “Beta Features” means any features, services, or functionality designated as “beta,” “preview,” “experimental,” or “early access.”
- “Content” means all text, data, software, images, graphics, and other materials available through the Services.
- “Credits” means the usage units allocated to your Subscription, consisting of AI Credits (for AI-powered conversations) and Execution Credits (for workflow runs).
- “External Services” means any third-party applications, platforms, APIs, or systems that you connect to or interact with through the Platform.
- “Generated Content” or “Output” means any workflows, configurations, code, or other content generated by the AI Features.
- “High-Risk Activities” means automated decisions that materially affect individual safety, rights, wellbeing, or financial standing without appropriate human oversight.
- “Sensitive Personal Data” means protected health information (PHI), financial account numbers, government-issued identification numbers, GDPR special category data (Article 9), biometric data, or children’s data.
- “Subscription” means a paid plan that grants you access to the Platform’s features and a defined allocation of Credits.
- “Usage Information” means data about how you interact with the Services, including but not limited to feature usage, workflow execution patterns, and credit consumption.
- “User Content” means any content, workflows, configurations, data, API credentials, or other materials that you create, upload, or transmit through the Platform.
- “Workflow” means an automated multi-step process created through the Platform that executes actions in External Services and systems via APIs.
3. Description of the Service
Typenode is an AI workflow automation platform. Users interact with AI-powered features to create, manage, and deploy automated multi-step workflows that execute actions in external services and systems via APIs.
The AI Features of the Platform are powered by third-party large language model providers. The specific AI models and providers used may change at any time without notice. AI capabilities are subject to the limitations of the underlying third-party models.
The Services do not constitute and are not intended for use as: tour operator services; tourism intermediary services; travel agent services; airline ticket booking or brokerage; hotel reservation or accommodation booking; car rental booking; travel package sales; insurance brokerage; or any other online travel agency operations.
Typenode may modify, update, or discontinue features of the Services at any time with reasonable notice. We will provide advance notice of material changes where practicable.
4. Account Registration and Security
To access the Platform, you must create an Account. You agree to provide accurate, current, and complete registration information and to update such information to keep it accurate, current, and complete.
You are solely responsible for safeguarding your Account credentials (including your password) and for all activity that occurs under your Account. You agree to notify us immediately at legal@typenode.ai if you become aware of any unauthorized access to or use of your Account.
Each individual may maintain only one Account unless operating additional Accounts as part of an organizational arrangement. Operating multiple Accounts to circumvent usage limits, billing controls, or other restrictions is prohibited and may result in immediate termination of all associated Accounts.
Typenode reserves the right to suspend or terminate Accounts that violate these Terms and to verify user identity at any time.
Inactive accounts: Accounts with no login or activity for twenty-four (24) consecutive months may be deleted. We will send a warning email to your registered email address at least thirty (30) days before deletion. It is your responsibility to keep your email address current.
5. Subscription, Pricing, and Credits
The Platform is offered on a subscription basis with defined feature access and Credit allocations. Current plan details, including pricing, Credit allocations, and any promotional offers, are published on the Platform and are incorporated into these Terms by reference.
5.1 Credit Pools
Your Subscription includes two independent Credit pools:
- AI Credits — consumed by AI-powered interactions, including conversations with custom agents and AI-assisted workflow generation. AI Credits are fractional and formula-driven; the cost per interaction varies depending on complexity.
- Execution Credits — consumed by workflow runs. Each workflow execution consumes 1 Execution Credit.
5.2 Credit Policies
- Hard cap: When your Credit balance for either pool reaches zero, usage of that feature is blocked until your next billing period.
- No rollover: Unused Credits reset at the beginning of each billing period. Unused Credits from the prior period are forfeited.
- No cash value: Credits have no monetary value, cannot be redeemed for cash, and are non-transferable.
5.3 Billing Period
Each billing period is thirty (30) days from your Subscription start date (not calendar-aligned).
5.4 Pricing Changes
Typenode may change pricing with at least thirty (30) days’ advance written notice. Existing subscribers’ current rate will be preserved until their next renewal date following the notice period. Typenode reserves the right to introduce new plans, tiers, credit structures, and overage billing at any time.
6. Free Trial
Typenode may offer a free trial period. The trial duration and any applicable conditions are indicated during Checkout. The trial begins from the date you complete Checkout (which requires a valid credit or debit card), not from the date of account creation.
During the trial, you receive the Credit allocation indicated during Checkout. The trial period automatically ends without charge unless you explicitly choose to convert to a paid Subscription. Your card will not be charged at the end of the trial unless you take affirmative action to subscribe.
- Convert during trial: If you choose to convert to a paid Subscription during the trial, your remaining Credits are retained and your paid Credit allocation is added.
- Subscribe after trial expiration: If the trial expires and you later subscribe, you receive a fresh paid Credit allocation.
- After trial expiration: Your data is preserved and you retain read-only access, but AI Features and workflow execution are blocked until you subscribe.
7. Billing, Payment, and Renewal
7.1 Payment Processing
All payments are processed by Stripe, Inc. By subscribing, you agree to Stripe’s terms of service. We accept credit and debit cards only. All fees are stated and charged in United States Dollars (USD).
7.2 Auto-Renewal
Automatic Renewal Disclosure: Your Subscription will automatically renew at the end of each billing period (monthly) at the then-current rate unless you cancel before the end of the current billing period. To cancel, use the Stripe Customer Portal accessible from your Platform settings. See Section 7.3 for cancellation details.
For future annual plans, we will send a renewal reminder email at least thirty (30) days before the renewal date.
7.3 Cancellation
You may cancel your Subscription exclusively through the Stripe Customer Portal, accessible from the Platform’s settings page. Cancellation takes effect at the end of your current billing period. You retain access to the Services until the end of the period for which you have already paid.
Requests to cancel via email, chat, phone, or any other informal method do not constitute valid cancellation. You may reactivate your Subscription before the end of the current billing period via the Stripe Customer Portal.
7.4 Past Due Accounts
If a payment fails, access to the Platform is immediately blocked while Stripe retries the payment in the background. Access is restored automatically upon successful payment.
7.5 Additional Billing Terms
- You are responsible for keeping your payment information current.
- Billing address and tax identification information may be collected during Checkout.
- Promotional codes may be available and are subject to their stated terms.
- All fees are stated exclusive of applicable taxes. You are responsible for all applicable taxes (including sales tax, VAT, and similar levies) except for taxes on Typenode’s net income.
8. Refunds
All fees are non-refundable except as required by applicable law or as expressly stated in these Terms. The free trial does not result in any charges (it auto-cancels unless you explicitly convert).
Typenode may, at its sole discretion, issue refunds or credits on a case-by-case basis.
EU consumers: If you are a consumer in the European Economic Area, you acknowledge and agree that, by requesting immediate access to the digital content of the Platform upon Subscription, you expressly consent to waive your right of withdrawal under Article 16(m) of the Consumer Rights Directive (2011/83/EU).
Termination by Typenode for convenience: If we terminate your Subscription for our convenience (and not for a violation of these Terms), we will provide a pro-rata refund of prepaid fees for the unused portion of your billing period.
You agree to contact us at legal@typenode.ai before initiating a chargeback or payment dispute with your card issuer.
9. User Content and Data
9.1 Ownership
You retain all ownership rights in your User Content. Typenode does not claim ownership of your User Content.
9.2 License Grant
By submitting User Content to the Platform, you grant Typenode a limited, worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and display your User Content solely as necessary to provide and improve the Services. This license terminates when you delete your User Content or your Account, except as necessary to fulfill legal obligations or as described in Section 9.7.
9.3 Your Representations
You represent and warrant that:
- You have all necessary rights, licenses, and permissions to submit your User Content and to grant the license described above.
- Your User Content does not violate any applicable law or third-party rights, including intellectual property rights.
- You own or lawfully control all API credentials you provide through the Platform and that such credentials were not obtained fraudulently or in violation of any agreement.
9.4 No AI Model Training
Typenode does not use your User Content to train artificial intelligence models. Your User Content may be processed by third-party AI providers solely for the purpose of providing the AI Features, as described in our Privacy Policy.
9.5 Aggregated Data
Typenode may create and use de-identified, aggregated datasets derived from usage patterns (not from your User Content itself) for service improvement, analytics, and benchmarking. Such data will not identify any individual user or contain User Content.
9.6 Data Portability
You may export your data from the Platform at any time during your active Subscription. Where applicable, you may exercise your right to data portability under GDPR Article 20.
9.7 Post-Cancellation Data Retention
After your Subscription ends (whether by cancellation or expiration), your data will be retained as follows:
- 90 days: Read-only access for data export.
- 30-day warning: We will send you an email notification before permanent deletion.
- Permanent deletion: After approximately 120 days from cancellation, your data will be permanently deleted.
9.8 Future Features
Typenode reserves the right to introduce workflow sharing features in the future, which may be subject to additional or supplemental terms.
10. Intellectual Property
Typenode and its licensors own all rights, title, and interest in and to the Services, including all software, algorithms, user interfaces, documentation, tools, templates, designs, and all related intellectual property rights. The Services are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms, Typenode grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business or personal purposes. No other rights are granted, whether express or implied.
You agree not to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services
- Copy, modify, adapt, translate, or create derivative works based on the Services
- Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the Services
All trademarks, service marks, logos, and trade names displayed on the Services are the property of Typenode or their respective owners.
Marketing rights: Typenode may use your name and logo on marketing materials, customer lists, and case studies. You may opt out at any time by sending written notice to legal@typenode.ai.
11. Feedback and Suggestions
If you provide Typenode with any feedback, suggestions, ideas, improvements, feature requests, or other input regarding the Services (“Feedback”), you hereby irrevocably assign to Typenode all rights, title, and interest in and to such Feedback, including all intellectual property rights therein.
Feedback is provided voluntarily and without any expectation of compensation. Typenode is free to use, reproduce, license, distribute, and commercialize any Feedback without obligation, attribution, or accounting to you.
To the extent permitted by applicable law, you waive any moral rights you may have in any Feedback.
You represent that any Feedback you provide does not infringe the intellectual property rights of any third party.
This Section 11 survives termination of these Terms and your Account.
12. AI-Specific Disclaimers
The AI Features of the Platform generate workflows and other outputs using third-party large language models. You acknowledge and agree that:
- AI-generated workflows may contain errors, inaccuracies, or unexpected behaviors. Typenode makes no guarantee of the accuracy, completeness, reliability, or suitability of any AI-generated output.
- You are solely responsible for reviewing, testing, and validating all workflows before deploying them to production environments.
- You are solely responsible for all actions taken by your workflows in External Services, including but not limited to: refunds, data modifications, data deletion, financial transactions, and any other operations performed via APIs.
- Typenode is not liable for the consequences of workflow execution, including unauthorized transactions, data modification or deletion, or financial losses in External Services.
- AI Features may produce different outputs for the same inputs. Outputs are not unique and may be similar to outputs provided to other users.
- AI capabilities are subject to third-party model limitations, which may change over time without notice.
- AI Features may be temporarily unavailable due to third-party provider outages or maintenance.
- Typenode reserves the right to modify, suspend, or discontinue any AI Features at any time.
Recommendation: Typenode strongly recommends testing all workflows in a non-production environment before deploying them to production systems.
13. Sensitive Data and High-Risk Activities
13.1 Sensitive Personal Data
You must not upload, process, or transmit through the Services any Sensitive Personal Data, including but not limited to: protected health information (PHI) as defined under HIPAA, financial account numbers (including full credit or debit card numbers), government-issued identification numbers (such as Social Security Numbers or passport numbers), GDPR special category data (Article 9), biometric data, or children’s data.
Typenode has no liability whatsoever for any User Content that contains Sensitive Personal Data in violation of this Section. You bear all risk and liability for any such violation.
13.2 High-Risk Activities
The Services must not be used for automated decisions that materially affect individual safety, rights, wellbeing, or financial standing without appropriate human oversight. Prohibited contexts include, without limitation:
- Law enforcement or immigration decisions
- Critical infrastructure management
- Employment or credit decisions
- Medical diagnosis or treatment
You are solely responsible for implementing appropriate human oversight when workflow outputs affect individuals.
14. Acceptable Use Policy
14.1 General Prohibitions
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights
- Create, deploy, or operate harmful, fraudulent, or deceptive workflows
- Harass, threaten, abuse, defame, or cause harm to any person or entity
- Gain unauthorized access to, or disrupt, any system, network, or service
- Circumvent usage limits, billing controls, security mechanisms, or other restrictions of the Services
- Operate multiple Accounts to circumvent restrictions
- Send spam, unsolicited communications, or chain messages
- Resell, sublicense, or provide access to the Services to unauthorized third parties
- Scrape, data mine, or use automated means to collect data from the Services
- Upload or distribute malicious code, viruses, or harmful software
- Develop products or services that compete with Typenode using the Services
- Impersonate any person or entity
- Process data in violation of GDPR, CCPA, or other applicable data protection laws
14.2 AI-Specific Prohibitions
In addition, you agree not to:
- Use AI Features or their outputs to train, develop, or improve any foundation model, machine learning model, or competing AI service
- Engage in jailbreaking, prompt injection, or any attempt to circumvent AI model guardrails or safety mechanisms
- Misrepresent AI-generated content as human-created where disclosure is required by law
- Generate content that violates the acceptable use policies of third-party AI model providers used by the Platform
14.3 Enforcement
Typenode may investigate suspected violations of this Acceptable Use Policy and take action including, without limitation: issuing a warning, temporarily suspending your Account, removing violating content, permanently terminating your Account, and/or pursuing legal action. Criminal activity may be reported to law enforcement authorities. Typenode has no general obligation to monitor User Content but reserves the right to do so.
15. Third-Party Services and Integrations
The Platform enables you to connect to External Services via API credentials that you provide. You are solely responsible for:
- Maintaining valid credentials and authorizations for each External Service
- Complying with the terms of service, acceptable use policies, and privacy policies of each External Service
Typenode is not responsible for the availability, accuracy, security, or data handling practices of any External Service. Typenode is not a party to any agreement between you and any External Service provider.
Typenode may add, modify, or remove supported integrations at any time. Workflow failures caused by External Service changes, outages, or API modifications are not Typenode’s liability.
You acknowledge that actions taken by your workflows in External Services — including data modification, deletion, and financial transactions — may be irreversible, and Typenode bears no responsibility for such actions.
16. Fair Use and Usage Limits
Typenode reserves the right to impose, modify, and enforce usage limits at any time. Current limits are defined by your Subscription plan.
We may throttle, suspend, or limit your access to the Services in cases of:
- Excessive usage that degrades service quality for other users
- Suspected abuse or circumvention of usage limits
- AI model cost management (third-party API consumption)
Rate limiting may be applied to API calls and workflow executions. Automated, scripted, or programmatic abuse of Credits is prohibited.
Typenode reserves the right to modify Credit formulas, allocations, and pricing parameters at any time. We will provide reasonable notice before imposing additional limitations on a specific Account.
17. Beta Features and Preview Services
Typenode may offer features designated as “Beta,” “Preview,” “Experimental,” or “Early Access.” Your participation in Beta Features is voluntary.
Beta Features are provided AS IS, without warranties of any kind.
- Beta Features may be incomplete, contain bugs, or cause data loss.
- No service level agreement (SLA), uptime commitment, or support guarantee applies to Beta Features.
- Typenode may discontinue Beta Features at any time without notice or liability.
- Data created using Beta Features may not be preserved if the feature is discontinued.
- Separate or supplemental terms may apply to specific Beta Features.
18. Warranty Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TYPENODE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
TYPENODE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TYPENODE DOES NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY OUTPUT GENERATED BY THE AI FEATURES. TYPENODE DOES NOT WARRANT THE PERFORMANCE OF WORKFLOWS IN EXTERNAL SERVICES. TYPENODE DOES NOT WARRANT COMPATIBILITY WITH ALL EXTERNAL SERVICES OR APIs.
NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY TYPENODE OR ITS REPRESENTATIVES SHALL CREATE A WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY APPLICABLE LAW.
IF YOU ARE A CONSUMER IN THE EUROPEAN ECONOMIC AREA, UNITED KINGDOM, OR SWITZERLAND, YOUR STATUTORY RIGHTS UNDER APPLICABLE EU OR NATIONAL CONSUMER PROTECTION LAW ARE NOT AFFECTED BY THIS DISCLAIMER.
19. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TYPENODE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
WITHOUT LIMITING THE FOREGOING, TYPENODE SHALL NOT BE LIABLE FOR: ACTIONS TAKEN BY WORKFLOWS IN EXTERNAL SERVICES; ERRORS IN AI-GENERATED OUTPUTS; UNAUTHORIZED ACCESS TO YOUR ACCOUNT; FAILURES OR OUTAGES OF THIRD-PARTY SERVICES; OR SERVICE INTERRUPTIONS.
IN NO EVENT SHALL TYPENODE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO TYPENODE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (US $100).
THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF TYPENODE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTHING IN THESE TERMS SHALL LIMIT LIABILITY FOR: (A) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; (B) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (C) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (D) ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED BY APPLICABLE LAW.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY APPLICABLE LAW.
20. Indemnification
You agree to indemnify, defend, and hold harmless Typenode and its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Actions taken by your workflows in External Services
- Your User Content
- Your violation of any applicable law or regulation
- Your upload or processing of Sensitive Personal Data in violation of Section 13
Typenode will provide you with reasonable notice of any claim for which it seeks indemnification. You will have the right to control the defense of such claim, subject to Typenode’s approval of legal counsel (not to be unreasonably withheld). No settlement may be made without Typenode’s prior written consent.
EU consumers: This indemnification obligation may not be enforceable against consumers in the European Economic Area, United Kingdom, or Switzerland to the extent prohibited by mandatory consumer protection law.
21. Termination
21.1 Termination by You
You may cancel your Subscription at any time exclusively through the Stripe Customer Portal, accessible from the Platform’s settings page. Cancellation takes effect at the end of the current billing period.
21.2 Termination by Typenode for Cause
Typenode may immediately suspend or terminate your Account and access to the Services, without prior notice, for:
- Violation of these Terms, including the Acceptable Use Policy
- Fraudulent activity
- Non-payment
- Upload or processing of Sensitive Personal Data in violation of Section 13
21.3 Termination by Typenode for Convenience
Typenode may terminate your Subscription for convenience upon thirty (30) days’ written notice. In such case, we will provide a pro-rata refund of prepaid fees for the unused portion of your billing period.
21.4 Effect of Termination
Upon termination:
- Your right to use the Services ceases immediately (except as provided below for data export).
- You will have a ninety (90)-day read-only period to export your data, followed by a thirty (30)-day warning email before permanent deletion (approximately 120 days total).
- All accrued payment obligations survive termination.
- All Credits are forfeited upon termination. Credits have no cash value and are not refundable.
21.5 Survival
The following sections survive termination of these Terms: Section 10 (Intellectual Property), Section 11 (Feedback and Suggestions), Section 18 (Warranty Disclaimer), Section 19 (Limitation of Liability), Section 20 (Indemnification), Section 22 (Governing Law), Section 23 (Dispute Resolution), and any other provision that by its nature should survive.
22. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
EU consumers: If you are a consumer in the European Economic Area, United Kingdom, or Switzerland, you may also invoke the mandatory protections of the consumer law of your country of habitual residence pursuant to the Rome I Regulation (EC) No 593/2008.
23. Dispute Resolution
23.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@typenode.ai and attempt to resolve the dispute informally for at least thirty (30) days.
23.2 Binding Arbitration
If the dispute cannot be resolved informally, it shall be finally resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules then in effect. The arbitration shall take place in the State of Delaware or, at your election, by remote or telephonic means.
23.3 Class Action Waiver
YOU AND TYPENODE AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, BOTH PARTIES WAIVE THE RIGHT TO A JURY TRIAL.
23.4 Exceptions
- Small claims: Either party may bring a claim in small claims court if the claim qualifies under the applicable local jurisdiction’s rules.
- Injunctive relief: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction for infringement of intellectual property rights or unauthorized access to the Services.
23.5 EU Consumer Exception
Nothing in this Section prevents consumers in the European Economic Area, United Kingdom, or Switzerland from:
- Bringing claims in the courts of their country of habitual residence
- Filing complaints with their local consumer protection authority
- Using the EU Online Dispute Resolution platform (see Section 24)
23.6 Costs
Each party shall bear its own costs and expenses in connection with the arbitration, unless the arbitrator determines otherwise.
24. EU-Specific Provisions
If you are a consumer in the European Economic Area (EEA), United Kingdom, or Switzerland:
- Your mandatory consumer rights under applicable EU or national law are not affected by these Terms. Nothing in the warranty disclaimer (Section 18) or limitation of liability (Section 19) limits rights that cannot be waived under EU consumer protection law.
- You may bring claims in the courts of your country of habitual residence.
- You may resolve disputes through the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/.
Right of withdrawal: By requesting immediate access to the digital content of the Platform upon Subscription and expressly consenting at Checkout, you waive your right of withdrawal under Article 16(m) of the Consumer Rights Directive (2011/83/EU).
24.4 Digital Services Act (Regulation (EU) 2022/2065)
Typenode is a hosting service within the meaning of Article 3(g)(iii) of the Digital Services Act (“DSA”). The following provisions apply to recipients of the service in the European Union.
Points of contact (Articles 11 and 12): Our single point of contact for communications from Member State authorities, the European Commission, and the European Board for Digital Services (Article 11), as well as for recipients of the service (Article 12), is:
Communications may be submitted in English.
Content restrictions and moderation (Article 14): The restrictions we impose on the use of our service are set forth in Section 14 (Acceptable Use Policy). Content moderation is performed exclusively through human review. We do not use automated tools for content moderation decisions.
Reporting illegal content (Article 16): Any individual or entity may notify us of specific information they consider to be illegal content hosted on our Platform. Notices should be submitted by email to dsa@typenode.ai and must contain:
- A sufficiently substantiated explanation of why the information is considered illegal content
- A clear indication of the exact electronic location of the information (e.g., URL or other identifier)
- The name and email address of the submitting individual or entity
- A statement confirming the bona fide belief that the information and allegations are accurate and complete
We will send an acknowledgment of receipt without undue delay and notify you of our decision, including information on redress possibilities.
Statement of reasons (Article 17): Where we restrict or remove content or suspend or terminate an Account on the grounds that the information constitutes illegal content or is incompatible with our Terms, we will provide a clear and specific statement of reasons including: the specific provision relied upon, the facts and circumstances on which the decision is based, whether any automated means were used in reaching the decision, and information on redress options available to the affected user.
Criminal offences (Article 18): Where we become aware of any information giving rise to a suspicion that a criminal offence involving a threat to the life or safety of a person has taken place, is taking place, or is likely to take place, we will promptly inform the law enforcement or judicial authorities of the Member State or Member States concerned.
Redress: If you believe a content moderation decision was made in error, you may contact us at dsa@typenode.ai. You may also lodge a complaint with the Digital Services Coordinator in your Member State.
25. Modifications to Terms
Typenode may modify these Terms at any time. For material changes, we will provide at least thirty (30) days’ advance notice via email to registered users and a prominent notice within the Services before the changes take effect.
Your continued use of the Services after the notice period constitutes acceptance of the modified Terms. If you disagree with the changes, you may cancel your Account before the changes take effect.
Non-material changes (such as formatting corrections, typographical fixes, or clarifications that do not alter your rights or obligations) are effective when posted.
26. DMCA / Copyright Policy
Typenode respects the intellectual property rights of others. If you believe that any content available through the Services infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our designated agent.
26.1 DMCA Takedown Notice
Your notice must include the following:
- Identification of the copyrighted work that you claim has been infringed
- Identification of the material that you claim is infringing and that you request be removed, with sufficient detail to locate it
- Your contact information (name, address, telephone number, and email address)
- A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
- A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf
- Your physical or electronic signature
26.2 Counter-Notification
If you believe your content was removed in error, you may submit a counter-notification containing the same types of information listed above, along with a statement under penalty of perjury that the material was removed by mistake or misidentification.
26.3 Repeat Infringer Policy
Typenode may terminate the Accounts of users who are repeat copyright infringers.

27. Export Compliance
You agree to comply with all applicable export control and sanctions laws, including the United States Export Administration Regulations (EAR), the Office of Foreign Assets Control (OFAC) sanctions programs, and EU Regulation 2021/821 (dual-use items).
You represent and warrant that:
- You are not located in, under the control of, or a national or resident of: Cuba, Iran, North Korea, Syria, the Crimea region of Ukraine, or any other territory subject to comprehensive United States sanctions or embargo.
- You are not listed on any United States government restricted or denied party list.
- You will not transfer bulk sensitive data to countries of concern in violation of applicable regulations.
28. Government End Users
If the Services are used by or on behalf of the United States Government, they are provided with “restricted rights” as defined in FAR 52.227-14 and DFARS 227.7202. Use by the government is subject to these Terms.
29. Communications and Electronic Notices
By using the Services, you consent to receive electronic communications from Typenode, including via email and in-app notifications. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing, pursuant to the E-SIGN Act (15 U.S.C. § 7001 et seq.).
Typenode may send you:
- Service announcements and administrative messages
- Billing confirmations and renewal notices
- Security alerts
- Product updates and marketing communications
You may opt out of marketing communications at any time by using the unsubscribe mechanism in any marketing email. You may not opt out of transactional or administrative communications that are necessary for the operation of your Account.
30. General Provisions
30.1 Entire Agreement
These Terms, together with the Privacy Policy and any documents incorporated by reference, constitute the entire agreement between you and Typenode with respect to the Services. They supersede all prior or contemporaneous agreements, understandings, negotiations, and proposals, whether written or oral. Any conflicting or additional terms in purchase orders, vendor forms, or other documents issued by you are expressly rejected.
30.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
30.3 Waiver
The failure of Typenode to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Typenode.
30.4 Assignment
Typenode may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. We will notify you of any such assignment. You may not assign or transfer these Terms without Typenode’s prior written consent.
30.5 Force Majeure
Neither party shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: AI provider outages, third-party API changes, natural disasters, government actions, pandemics, DDoS attacks, strikes, terrorism, or utility failures.
30.6 No Third-Party Beneficiaries
These Terms do not create any right, benefit, or cause of action for any third party.
30.7 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
30.8 Construction
As used in these Terms, the word “including” means “including but not limited to.” In the event of any discrepancy between the English version of these Terms and any translation, the English version shall control.
30.9 Independent Contractors
Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between you and Typenode.
